Green Cabbage Introduces Diligence Center: Agentic AI for M&A Contract Due Diligence

Earlier this year, we launched Harvest, putting agentic AI behind every negotiation our clients run. Today, we’re taking it into M&A deals, analyzing a target’s entire supplier contract set within minutes. Diligence Center is live, and contract review will never look the same.

What is Diligence Center?

Diligence Center is AI contract review for M&A due diligence, built into Green Cabbage’s Harvest platform. Twelve orchestrated agents read every supplier contract in an acquisition target, price each agreement against real market data, and risk-rate the terms that matter most in a deal. All in minutes. It’s built for private equity firms, corporate development teams, and advisory firms running buy-side diligence.

Why we built it

Over a year ago, we saw the gap. Deal teams were spending up to six weeks reviewing fewer than 20 supplier contracts and still missing significant risk and cost take-out opportunity. The rest of the contract set went unread. We spent the past year building the fix, and we battle tested it with select clients before today’s launch.

What it means for Green Cabbage

For years, our expert analysts have priced and risk-rated contracts manually through our MIT process, usually after a deal closed. Diligence Center moves our procurement intelligence into the acquisition itself, before anyone commits capital. Harvest now covers the full deal lifecycle, from the first look at a target to the renewals you inherit.

How AI contract due diligence works in Diligence Center

  • Upload: every contract in the target, including MSAs, order forms, and addenda. We handle 1,000+ documents in minutes.
  • Analyze: 12 AI agents work in an orchestrated workflow, from extraction to scoring. Each agreement is priced against 2.6 billion data points across 88+ categories, matched on SKU, geography, and industry. Ten M&A terms are flagged for risk, each with a recommended next step.
  • Approve: anything non-standard goes to our team of 150+ subject matter experts.
  • Deliver: one holistic pricing and terms risk report, with every conclusion traced back to the contract language behind it.

Encryption and clear data retention timelines are built into every stage.

Why only Green Cabbage can do this

Anyone can point a general LLM at a stack of contracts. Only Green Cabbage has pricing and terms data drawn from thousands of deals that already signed. Our team of senior attorneys annotated thousands of contracts, and career procurement practitioners added the judgment layer to train the agents. That’s what turns a contract review into a negotiating position.

Jeff Todd of Sorenson Capital, a Green Cabbage investor, says: “This kind of direct impact is hard to find in M&A.”

“Too often, organizations make acquisition decisions with limited visibility into supplier contracts and the value they contain. Diligence Center combines AI with deep procurement expertise to turn thousands of contracts into actionable intelligence quickly, helping organizations like mine uncover value, reduce risk, and accelerate integration from day one.”, says George Jannino, Chief Procurement Officer at Raymond James.

Beyond confirmatory diligence

Diligence Center works at every stage of the deal. Run it at screening for a cost read before you commit a team. Run it in the first 100 days to hand operators a ranked list of what to renegotiate. Run it during exit prep, or across an existing portfolio to find where portfolio companies buy from the same suppliers at different rates.
